Effective 1 September 2026
Terms of service
These terms constitute an agreement between BidNivo (Pty) Ltd, registration number 2026/679848/07 (“BidNivo”, “we”, “us” or “our”), and the registered organisation and its authorised users (“Customer”, “you” or “your”). By creating an account, accepting an invitation or using the service, you agree to these terms.
1. The service
BidNivo provides tender discovery, document extraction, analysis assistance, deadline alerts, bid workspaces, team collaboration and related subscription services. Features and limits depend on the selected plan.
BidNivo is an information and workflow tool. It does not issue tenders, guarantee that every opportunity or amendment will be discovered, guarantee an award, or replace review of the official tender documents and advice from qualified professionals.
2. Registration and authority
The person registering an organisation warrants that they are at least 18 years old, have authority to bind and administer that organisation, and have supplied accurate information. Private-company and close-corporation registration numbers are normalised and checked for supported format and duplicate registration. A successful format check is not a CIPC ownership certification.
Each registered entity may receive only one free trial. You may not use another email address, related account or altered registration details to obtain repeated trials.
3. Accounts and team access
You are responsible for account credentials, authorised users, role assignments, workspace activity and prompt removal of access no longer required. You must notify support@bidnivo.co.za promptly of suspected unauthorised access. Actions performed through an authenticated account may be treated as authorised unless you notified us of compromise and took reasonable steps to secure the account.
4. Trial and paid plans
Eligible new organisations receive a 14-day trial during the published launch-trial period. No card is required. The workspace owner may skip the trial and begin any available paid plan immediately. Starting a paid plan ends the remaining trial and paid-plan limits apply from payment confirmation.
Paid subscriptions are billed monthly in advance through the disclosed payment provider. Prices are displayed in South African rand before checkout. Unless stated otherwise, a monthly subscription continues until cancelled. Any tax treatment will be shown where applicable.
5. Early-bird Business offer
During the published qualification window, up to 1,000 eligible registered entities may receive Business-plan access at R499 per paid month for no more than 12 successfully paid billing months. A place is secured only after payment confirmation, not merely by registration or starting checkout.
Cancellation releases the early-bird place. A returning Customer must compete for a place then available, must use the same verified entity registration, and receives only the unused balance of its original 12 paid months. Months already paid remain deducted. BidNivo may reject duplicate, manipulated, fraudulent or ineligible claims.
Before the final promotional month ends, BidNivo will notify the Customer. We will not silently convert the promotional subscription to the standard Business price. Continued service after the paid promotional period requires selection of an available standard plan.
6. Failed payments and suspension
If a renewal payment fails, the account becomes past due and ordinarily remains usable for a seven-calendar-day grace period. Notices are scheduled when the failure is recorded, during the grace period and before suspension. If payment remains outstanding when the grace period ends, workspace features may be suspended, but the Customer’s data and access to Plan & billing are retained.
A confirmed replacement payment reactivates a payment-suspended workspace immediately. BidNivo may suspend access without a payment grace period where reasonably necessary to address fraud, unlawful conduct, security risk, sanctions, material misuse or a legal requirement.
7. Cancellation and refunds
The workspace owner may stop recurring billing through Plan & billing. Unless the checkout disclosure or applicable law provides otherwise, cancellation prevents future renewal and access continues through the already-paid period. Fees already earned for a commenced billing period are not automatically refundable, subject always to rights that cannot lawfully be excluded. The detailed process, plan-change treatment and refund grounds appear in our Refund and cancellation policy.
Complimentary access may be granted or withdrawn by an authorised BidNivo platform administrator. The Customer will be notified when it is granted or removed and, on removal, informed of the workspace’s resulting plan and subscription status.
8. Acceptable use
You may not use the service unlawfully; infringe intellectual-property, privacy or confidentiality rights; upload malicious code; attempt unauthorised access; interfere with availability; scrape or reverse engineer protected parts of the service except where law expressly permits; circumvent plan, trial or security controls; impersonate another person or entity; or use automated output to misrepresent compliance with a tender.
9. Customer content
You retain rights in content you lawfully upload. You grant BidNivo a limited, non-exclusive right to host, reproduce, transform and process that content only as reasonably necessary to provide, secure and support the service. You warrant that you have lawful authority to upload and process the content, including personal or confidential information it contains.
10. BidNivo intellectual property
The service, software, branding, interfaces, models, documentation and improvements are owned by or licensed to BidNivo and protected by applicable law. No ownership transfers to the Customer. Subject to payment and these terms, BidNivo grants a limited, revocable, non-transferable right for authorised users to use the service for the Customer’s internal business activities.
11. Availability, changes and support
We use reasonable care to operate a reliable service but do not promise uninterrupted availability or error-free extraction. Official portals may change, fail or restrict access without our control. We may maintain, secure or improve the service and will use reasonable efforts to communicate material planned disruption or materially adverse feature changes.
12. Warranties and liability
To the maximum extent permitted by applicable law, the service is provided on the basis that the Customer independently verifies tender references, requirements, dates, venues, compulsory briefings, certificates and submission instructions with the issuing authority. BidNivo is not liable for a bid decision, missed opportunity, disqualification or loss caused by reliance on unverified automated output or an unavailable third-party source.
Neither party excludes liability that cannot lawfully be excluded. Subject to that limitation, BidNivo’s aggregate liability arising from the service during any 12-month period will not exceed the subscription fees actually paid by the Customer to BidNivo in the six months immediately preceding the event giving rise to the claim. BidNivo will not be liable for indirect, consequential or special loss, loss of profit, loss of opportunity or loss caused by the Customer’s unlawful content or credential compromise, to the extent such exclusion is lawful and fair.
13. POPIA and confidentiality
Each party must process personal information lawfully and apply reasonable safeguards. Our processing is further described in the Privacy notice. Each party must protect the other’s non-public confidential information and may use it only for the agreement, except where disclosure is authorised or required by law.
14. Termination and data
Either party may terminate for a material breach not remedied within a reasonable written period, or immediately where the breach cannot be remedied, continued service would be unlawful, or serious fraud or security abuse is established. On termination, access ends after any applicable paid period or immediately where lawful suspension is required. Retention and deletion are governed by the Privacy notice and applicable law.
15. Electronic communications
You consent to receiving agreements, invoices, notices and other communications electronically at the account email address and through the platform. Electronic records and acceptance methods may be used as evidence to the extent recognised under the Electronic Communications and Transactions Act 25 of 2002.
16. Governing law and disputes
These terms are governed by South African law. The parties must first attempt in good faith to resolve a dispute through written escalation to legal@bidnivo.co.za. Nothing prevents either party from seeking urgent relief or using a regulator, ombud, tribunal or court with jurisdiction. Consumer rights that apply under the Consumer Protection Act 68 of 2008 or other law are not waived.
17. General
If a provision is unlawful or unenforceable, it will be limited or severed without invalidating the remainder. A failure to enforce a right is not a waiver. The Customer may not transfer the agreement without written consent; BidNivo may transfer it as part of a lawful restructuring or sale provided Customer rights are not materially reduced. These terms, the Privacy notice, the Refund and cancellation policy, checkout disclosures and any signed order form constitute the agreement in relation to the service.
